Terms of service for using MedicMetrix

Welcome to Medicmetrix, a yopa.ai Pte Ltd company. These Terms and Conditions ("Terms") govern your access to and use of the Medicmetrix software-as-a-service platform, including its artificial intelligence components, applications, and any related services (collectively, the "Service").

These Terms form a binding legal agreement between yopa.ai Pte. Ltd. ("Company," "we," "us," or "our") and the healthcare provider, clinic, hospital, or other legal entity accessing the Service ("User," "you," or "your").

By creating an account, or by accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you are using the Service on behalf of an organization (like a clinic or hospital), you represent and warrant that you have the authority to bind that organization to these Terms.

1. Description of Service

Medicmetrix provides a clinical decision-support and data management platform. The Service uses artificial intelligence to:

  • Automatically receive, process, and organize patient data (e.g., data from dialysis treatments) as provided by the User or connected third-party systems.
  • Transmit this data in a timely manner to the patient's designated User (e.g., the treating physician).
  • Provide automated notifications (via email, phone, or application alerts) to the User if certain patient data or values are detected by the AI as being outside of pre-defined parameters (e.g., "out of line" or "elevated") following a treatment.

The express purpose of the Service is to act as an informational and administrative tool to assist qualified healthcare professionals in monitoring patient data. Timely access to this data is intended to help the User make their own independent, professional medical judgments to mitigate risks and determine the correct course of treatment.

2. CRITICAL: No Medical Advice & User's Sole Responsibility

This is the most important section of these Terms.

  • Service is Not Medical Advice: Medicmetrix is not a healthcare provider and does not provide medical advice, diagnosis, or treatment. The Service is an informational tool only.
  • User's Professional Judgment: All clinical decisions, patient diagnoses, treatment plans, and subsequent actions (or inactions) are the sole and exclusive responsibility of the User (the qualified healthcare provider).
  • No Replacement for Clinical Judgment: The Service, including any AI-generated data or alerts, is not a substitute for the User's independent professional medical judgment, monitoring, and standard of care. Users must never rely solely on the Service for patient care decisions.
  • Verification of Data: The User is solely responsible for independently verifying the accuracy, completeness, and timeliness of all data and notifications provided by the Service before making any medical decision.

3. Data Protection and Privacy (PDPA)

Our collection, use and disclosure of personal data are governed by the Singapore Personal Data Protection Act (PDPA). For full details, please refer to our MedicMetrix Privacy Policy.

4. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, MEDICMETRIX DISCLAIMS ALL WARRANTIES.

SPECIFICALLY, MEDICMETRIX DOES NOT WARRANT THAT:

  • THE SERVICE, OR ANY DATA, NOTIFICATIONS, OR INFORMATION PROVIDED BY THE AI, WILL BE ACCURATE, COMPLETE, RELIABLE, ERROR-FREE, OR FAULT-FREE.
  • THE AI WILL CORRECTLY IDENTIFY ALL INSTANCES OF "OUT OF LINE" OR "ELEVATED" DATA.
  • THE NOTIFICATIONS WILL BE DELIVERED ON TIME, OR AT ALL.
  • THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

You acknowledge that all AI systems are probabilistic and may contain errors, inaccuracies, or biases. You agree to use the Service at your own risk and to independently verify all information before acting on it.

5. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MEDICMETRIX, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to, loss of profits, data, or goodwill; or
  • ANY DAMAGES, LIABILITIES, OR LOSSES related to medical malpractice, misdiagnosis, personal injury, patient harm, or death arising out of or in connection with:
    • The User's reliance on the Service;
    • Any faulty, inaccurate, or incorrect information provided by the Service;
    • A failure of the AI to provide an alert;
    • Any delay or failure in the delivery of a notification; or
    • Any other use of the Service.

This limitation applies whether the alleged liability is based on warranty, contract, tort (including negligence), or any other legal theory, even if Medicmetrix has been advised of the possibility of such damage.

6. User Indemnification

You agree to defend, indemnify, and hold harmless Medicmetrix and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt (including but not limited to legal fees) arising from:

  • Your use of and access to the Service;
  • Any medical decision or action taken (or not taken) by you based on information from the Service;
  • Your violation of any term of these Terms;
  • Your violation of any applicable law, rule, or regulation (including the PDPA, HCSA, etc.); or
  • Your violation of any third-party right, including any right of privacy or patient right.

7. User Accounts and Obligations

  • Eligibility: You must be a qualified and licensed healthcare professional or a validly organized healthcare entity registered to operate in Singapore.
  • Account Security: You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.
  • Acceptable Use: You agree not to use the Service for any unlawful purpose or in any way that could harm the Service, our systems, or other users.

8. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

9. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide reasonable notice of any material changes (e.g., by posting a notice on our website or sending an email). By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

10. General Provisions

  • Governing Law: These Terms shall be governed and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.
  • Dispute Resolution: Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of the SIAC for the time being in force. The seat of the arbitration shall be Singapore. The language of the arbitration shall be English.
  • Use in Other Jurisdictions: The Service is controlled and offered by Medicmetrix from its facilities in Singapore. We make no representations that the Service is appropriate or available for use in other locations (including other Southeast Asian countries). If you access or use the Service from other jurisdictions, you do so at your own volition and are solely responsible for compliance with all applicable local laws and regulations, including but not limited to data protection and healthcare laws.
  • Entire Agreement: These Terms (along with the Data Processing Addendum and any other referenced documents) constitute the entire agreement between you and Medicmetrix concerning the Service.
